These Terms of Service (“Terms”) govern your use of getprimeshift.com (the “Site”) and the services provided by PrimeShift, a DBA of ASIN Revival LLC (“PrimeShift,” “we,” “us,” “our”). By using the Site or engaging our services, you agree to these Terms.
1. Services
PrimeShift provides paid diagnostic services for Amazon ASIN performance decline, including:
- ASIN Decline Diagnostic (Triage, Single ASIN, and Multi-ASIN tiers)
- Optional Recovery Plan engagements
- Optional Recovery + Execution Sprint engagements
- ASIN Health Monitoring subscription (recurring)
Specific scope, deliverables, timeline, and fees are documented in an engagement letter signed before work begins.
2. Engagement letter
Each paid engagement is governed by a signed engagement letter that supersedes these Terms with respect to the specific scope, fees, deliverables, refund window, and acceptance protocol of that engagement. In the event of conflict between these Terms and a signed engagement letter, the engagement letter controls.
3. Payment
Fees are due according to the engagement letter, typically before work begins. Payments are processed through Stripe. Failed payments may result in suspension of services.
4. Refund policy
Refund eligibility is defined in each engagement letter. Generally:
- For paid diagnostic engagements (Triage, Single ASIN, Multi-ASIN): a refund may be requested within 24 hours of the readout call if you believe we failed to identify a material recoverable cause that another competent Amazon analyst would have identified given the same data.
- Refunds are not available based on outcomes of recovery actions, which depend on implementation quality and market conditions outside our diagnostic scope.
- After 24 hours post-readout (or post-acceptance form, whichever is signed), the engagement is considered closed.
Refund decisions are made within 7 business days of request, based on reasonable review of the diagnostic against the data provided.
5. Disclaimer
Our services are advisory. We provide diagnostic findings, recovery plans, and execution support based on data you provide and our analytical methodology. We do not guarantee specific revenue outcomes, ranking outcomes, or restoration of declines. Amazon’s marketplace is dynamic and outcomes depend on factors outside our control.
6. Intellectual property
- Client-specific deliverables (diagnostic reports, recovery plans, execution materials) are owned by you upon full payment.
- Our methodology, frameworks, templates, and underlying tools remain our intellectual property.
- We retain the right to use anonymized findings for case studies and marketing, with no client-identifying information.
7. Confidentiality
We maintain confidentiality of all client data, including Seller Central credentials, financial information, and proprietary business information. We use industry-standard security practices and only grant access to personnel directly engaged in delivering your services.
8. SMS communications
If you opt into SMS communications by checking the SMS consent box, you consent to receive transactional and relational SMS messages from PrimeShift. You may opt out at any time by replying STOP. Message and data rates may apply. See the Privacy Policy for full SMS terms.
9. Limitation of liability
To the maximum extent permitted by law, our liability for any claim arising from these Terms or our services is limited to the fees paid by you for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
10. Dispute resolution
We commit to good-faith mediation before any litigation. Disputes that cannot be resolved through direct discussion or mediation will be resolved through binding arbitration under the rules of the American Arbitration Association in the state of Wyoming.
11. Termination
Either party may terminate an engagement as described in the engagement letter. These Terms remain in effect with respect to confidentiality, IP, payment obligations, and dispute resolution after termination.
12. Changes to these Terms
We may update these Terms from time to time. The “Effective date” above reflects the latest revision. Continued use of the Site or our services after changes are posted means you accept the updated Terms.
